房屋銷售代理合同問題探析

【摘要】:房屋銷售代理過程中產(chǎn)生的合同,其性質(zhì)、內(nèi)容往往與居間合同、委托合同、買賣合同有著混合和法律適用混亂等情況,因?yàn)?從性質(zhì)上,居間行為、包銷行為都具有代理的一般特征,然而有關(guān)房屋居間合同、包銷合同的法律規(guī)定并不完善,尤其是包銷合同,更屬于典型的混合合同和無名合同,導(dǎo)致法律適用困難。因此通過對房屋銷售代理合同與居間合同、包銷合同、委托合同等性質(zhì)、問題的探析,可以針對房屋銷售代理中出現(xiàn)的不同情形,解決好房屋銷售代理合同糾紛中法律適用混亂的難題。本文結(jié)合域外立法比較,參考域外不同立法規(guī)定,剖析房屋銷售代理合同中的不同情形下的具體性質(zhì)定位,認(rèn)為房屋銷售代理合同作為一種混合性合同,需要根據(jù)不同混合因素和具體合同情形對合同性質(zhì)作出不同定位,然后再類推適用我國合同法有關(guān)合同條款的規(guī)定。本文所結(jié)合考慮合同的類型相對較多,并非是兩種合同之間的比較,而是對居間合同、委托、買賣合同與房屋銷售代理合同三者之間的辯證分析,從而使得對房屋銷售代理合同的性質(zhì)能有更加全面和更加準(zhǔn)確的認(rèn)識?偠灾,房屋銷售代理合同作為混合合同,其具有居間合同、委托合同以及買賣合同等不同法律屬性,在實(shí)踐中,應(yīng)當(dāng)根據(jù)具體情況類推適用相關(guān)法律規(guī)則。
[Abstract]:The nature and content of the contract produced in the process of housing sales agency are often mixed with the intermediary contract, the entrustment contract, the sale contract and the confusion of the application of the law, because, by nature, the intermediary acts. The behavior of underwriting all has the general characteristics of agency. However, the legal provisions of the house intermediary contract and the underwriting contract are not perfect, especially the underwriting contract, which belongs to the typical mixed contract and nameless contract. Therefore, through the analysis of the nature and problems of the house sales agency contract and the intermediary contract, the exclusive sale contract and the entrustment contract, we can aim at the different situations in the housing sales agency. In order to solve the problem of confusion in the application of the law in the disputes of housing sales agency contract, this paper compares the extraterritorial legislation, and refers to the different legislative provisions outside the country. This paper analyzes the specific nature of the housing sales agency contract under different circumstances, and thinks that the housing sales agency contract is a mixed contract. According to different mixed factors and specific contract circumstances, we need to make different positioning of the nature of the contract, and then apply the contract provisions of contract law in China by analogy. There are more types of contracts considered in this paper. It is not the comparison between the two kinds of contracts, but the dialectical analysis between the intermediary contract, the entrustment contract, the sale contract and the house sales agency contract. So as to make a more comprehensive and more accurate understanding of the nature of the housing sales agency contract. In a word, the housing sales agency contract, as a mixed contract, has an intermediary contract. Different legal attributes such as entrustment contract and sale contract should be applied according to specific circumstances by analogy in practice.
