【摘要】:房地產(chǎn)行業(yè)與國(guó)計(jì)民生關(guān)系重大,自從住宅市場(chǎng)化以來(lái),房地產(chǎn)業(yè)帶動(dòng)了整個(gè)中國(guó)國(guó)民經(jīng)濟(jì)的發(fā)展,更深刻影響了普通民眾的生活水平。目前我國(guó)各主要城市商品房預(yù)售比例均達(dá)到了百分之八十以上,研究商品房預(yù)售制度對(duì)保障購(gòu)房者權(quán)益,維護(hù)商品房市場(chǎng)秩序具有重要意義。本文共分為三個(gè)部分,第一是緒論部分,介紹了本文的選題背景及意義、研究方法和主要內(nèi)容。第二是文章的本論部分,分為四章。第一章為商品房預(yù)售中預(yù)購(gòu)方權(quán)益保護(hù)概述,從商品房預(yù)售的概念、特征,商品房預(yù)售中預(yù)購(gòu)方作為合同當(dāng)事人和消費(fèi)者所享有的權(quán)益,實(shí)踐中預(yù)購(gòu)方權(quán)益遭受侵害的主要形式方面為之后的具體論述進(jìn)行鋪墊。第二章為商品房預(yù)售中預(yù)購(gòu)方信息權(quán)益的保護(hù),首先論述了信息權(quán)益保護(hù)的理論基礎(chǔ),其次從虛假?gòu)V告和隱瞞重要事實(shí)兩個(gè)方面分析了商品房預(yù)購(gòu)中買賣雙方信息不對(duì)稱的主要表現(xiàn)及其解決辦法。第三章為商品房預(yù)售中預(yù)購(gòu)方的合同保護(hù),首先論述了合同保護(hù)的理論基礎(chǔ),其次具體就對(duì)合同中較為重要的面積條款、交樓和延遲免責(zé)條款、質(zhì)量和保修條款、產(chǎn)權(quán)擔(dān)保條款做出具體分析,提出對(duì)完善《商品房買賣合同示范文本》和相關(guān)立法的建議。第四章為商品房預(yù)售登記中預(yù)購(gòu)方的權(quán)益保護(hù),首先從理論上確定了商品房預(yù)售登記備案的性質(zhì)是債權(quán)登記和行政管理手段,其次分析了預(yù)售登記制度在保護(hù)預(yù)購(gòu)方物權(quán)上的不足,提出對(duì)預(yù)售登記制度的具體改進(jìn)方案。第三是結(jié)論部分,總結(jié)了文章主體部分所得出的完善預(yù)購(gòu)方權(quán)益保護(hù)的具體建議。
[Abstract]:The real estate industry has a great relationship with the national economy and the people's livelihood. Since the housing market, the real estate industry has driven the development of the whole national economy in China, and has deeply affected the living standard of the ordinary people. At present, the proportion of commercial housing pre-sale in major cities of China has reached more than 80%. It is of great significance to study the pre-sale system of commercial housing to protect the rights and interests of buyers and to maintain the order of commercial housing market. This paper is divided into three parts. The first part is introduction, which introduces the background, significance, research methods and main contents of this paper. The second part is the theory of the article, which is divided into four chapters. The first chapter is an overview of the protection of the rights and interests of the buyers in the advance sale of commercial housing, including the concept and characteristics of the pre-sale of commercial housing, and the rights and interests enjoyed by the pre-purchasers as the parties to the contract and the consumers in the pre-sale of commercial housing. In practice, the main forms of infringement of the rights and interests of the pre-purchasers pave the way for the later specific discussion. The second chapter is the protection of the information rights and interests of the buyers in the advance sale of commercial housing. Firstly, it discusses the theoretical basis of the protection of the information rights and interests. Secondly, the paper analyzes the main manifestations and solutions of information asymmetry between buyers and sellers in advance purchase of commercial housing from the aspects of false advertisement and concealment of important facts. The third chapter is the contract protection of the buyers in the advance sale of commercial housing. Firstly, it discusses the theoretical basis of the contract protection, and secondly, it concretely deals with the more important area clause, delivery and delay exemption clause, quality and warranty clause in the contract. This paper makes a concrete analysis of the property right guarantee clause, and puts forward some suggestions on perfecting the Model text of the contract for the purchase and sale of commercial housing and the relevant legislation. The fourth chapter is the protection of the rights and interests of the buyers in the pre-sale registration of commercial housing. Firstly, it determines theoretically that the nature of the pre-sale registration of commercial housing is the registration of creditor's rights and the means of administration. Secondly, it analyzes the deficiency of the pre-sale registration system in protecting the real right of the pre-buyer, and puts forward the concrete improvement scheme of the pre-sale registration system. The third part is the conclusion part, summarized the main part of the article to improve the protection of the rights and interests of buyers specific recommendations.
