【摘要】：船舶建造合同中的獨(dú)立保函是船舶建造行業(yè)較為常見的一種風(fēng)險(xiǎn)保障工具,為船廠和船東誠信地履行合同提供了基礎(chǔ)支撐,并且成為船舶建造系列合同中不可或缺的法律文件之一。然而,獨(dú)立保函在船舶建造合同的法律地位如何,其究竟以一種怎樣的方式去保障合同當(dāng)事人的利益,以及獨(dú)立保函轉(zhuǎn)讓的條件及法律后果,成為實(shí)踐中當(dāng)事人及相關(guān)從業(yè)者格外關(guān)注的事項(xiàng)。另外,本文對將與獨(dú)立保函相關(guān)的國際公約和慣例進(jìn)行了初步的介紹,分析了這些國際立法應(yīng)用于船舶建造合同中獨(dú)立保函的實(shí)踐可能性,為當(dāng)事人在實(shí)踐中解決相關(guān)法律問題提供一些建議。本文共有四個(gè)部分構(gòu)成。第一部分對船舶建造合同中獨(dú)立保函的整體狀況做了一個(gè)概述。從一般獨(dú)立保函的概念及發(fā)展?fàn)顩r開始說起,逐步深入到船舶建造合同中獨(dú)立保函的法律特征、特殊性以及類型化等問題,最終落腳于這種特殊的獨(dú)立保函在船舶建造中的現(xiàn)實(shí)性價(jià)值所在。第二部分分析了船舶建造合同獨(dú)立保函的法律適用問題。重點(diǎn)分析了船舶建造合同中獨(dú)立保函的法律性質(zhì),同時(shí)對獨(dú)立保函法律關(guān)系進(jìn)行了梳理,從國際公約、國際慣例等角度論述了法律適用的具體問題。第三部分研究了船舶建造合同中的獨(dú)立保函的轉(zhuǎn)讓問題。從轉(zhuǎn)讓的可行性出發(fā),分析了轉(zhuǎn)讓的類型、規(guī)制及法律后果等具體內(nèi)容。最后,重點(diǎn)討論了船舶建造合同中獨(dú)立保函轉(zhuǎn)讓行為中的欺詐問題,提醒當(dāng)事人注意船舶建造合同中獨(dú)立保函轉(zhuǎn)讓時(shí)的欺詐問題。第四部分重點(diǎn)探究了船舶建造合同中獨(dú)立保函所帶來的法律風(fēng)險(xiǎn)及如何規(guī)避等問題。從主體的角度對獨(dú)立保函風(fēng)險(xiǎn)進(jìn)行了合理劃分,并且提出了多個(gè)層面的風(fēng)險(xiǎn)規(guī)避措施。
[Abstract]:The independent guarantee in the shipbuilding contract is a common risk guarantee tool in the shipbuilding industry, which provides the basic support for the shipyard and the shipowner to carry out the contract in good faith. And become one of the indispensable legal documents in the shipbuilding series contract. However, what is the legal status of the independent guarantee in the shipbuilding contract, how to protect the interests of the parties to the contract, and the conditions and legal consequences of the transfer of the independent guarantee? Become a matter of particular concern to the parties and relevant practitioners in practice. In addition, this paper makes a preliminary introduction to the international conventions and practices related to the independent guarantee, and analyzes the practical possibility of applying these international legislation to the independent guarantee in the shipbuilding contract. To provide some advice for the parties to solve the relevant legal problems in practice. There are four parts in this paper. The first part gives an overview of the overall situation of the independent guarantee in the shipbuilding contract. Starting from the concept and development of the general independent guarantee, it gradually goes deep into the legal characteristics, particularity and typology of the independent guarantee in the shipbuilding contract. At last, the realistic value of this special independent guarantee in ship construction lies in. The second part analyzes the legal application of independent guarantee of ship construction contract. This paper mainly analyzes the legal nature of the independent guarantee in the shipbuilding contract, combs the legal relationship of the independent guarantee, and discusses the specific problems of the application of the law from the angle of international convention and international practice. The third part studies the transfer of independent guarantee in shipbuilding contract. Based on the feasibility of the transfer, this paper analyzes the types, regulations and legal consequences of the transfer. Finally, the problem of fraud in the transfer of independent guarantee in ship construction contract is discussed, and the parties are reminded of the fraud in the transfer of independent guarantee in ship construction contract. The fourth part focuses on the legal risk and how to avoid the independent guarantee in the shipbuilding contract. The risk of independent guarantee is divided reasonably from the point of view of subject, and the measures of risk aversion are put forward.
