【摘要】：光伏行業(yè)供求失衡,產(chǎn)能過(guò)剩,成為債券違約的"重災(zāi)區(qū)"。本文介紹了超日太陽(yáng)發(fā)行的"11超日債"違約全過(guò)程,對(duì)其因償債能力不足,年收入下降、盈利能力差,盲目擴(kuò)建、大肆海外投資,應(yīng)收賬款問(wèn)題突出,內(nèi)部控制存在缺陷導(dǎo)致違約展開(kāi)了具體分析,并從企業(yè)層面提出防范債券違約風(fēng)險(xiǎn),應(yīng)在事前建立健全企業(yè)債務(wù)風(fēng)險(xiǎn)預(yù)警機(jī)制、加強(qiáng)應(yīng)收賬款內(nèi)部控制、設(shè)立債券融資預(yù)算和償債基金制度,事中自助協(xié)商修改債務(wù)條件、發(fā)揮企業(yè)債券擔(dān)保機(jī)制的作用、建立企業(yè)債券保險(xiǎn)制度,事后開(kāi)發(fā)新市場(chǎng)區(qū)域、創(chuàng)新業(yè)務(wù)模式、開(kāi)發(fā)新應(yīng)用產(chǎn)品。
[Abstract]:The imbalance of supply and demand, photovoltaic industry overcapacity, a bond default "disaster areas". This paper introduces the ultra day sun issued 11 super day debt default in the whole process, due to lack of solvency, the annual income decline, poor profitability, blind expansion, big overseas investment, accounts receivable problems existing in the internal control the defects lead to default carries out a detailed analysis, and put forward the prevention of bond default risk from the enterprise level, in advance to establish a sound corporate debt risk warning mechanism, strengthen the internal control of accounts receivable, the establishment of financing budget and debt bond fund system in self negotiation of terms of a debt, the bond mechanism of enterprises play the role of building enterprises the bond insurance system, after the development of new markets, business model innovation, development of new products.
