【摘要】：近年來(lái),隨著國(guó)有企業(yè)議題的興起,國(guó)有企業(yè)主權(quán)豁免重新成為國(guó)際社會(huì)的關(guān)注熱點(diǎn)。美國(guó)FSIA、英國(guó)SIA和UN公約對(duì)國(guó)有企業(yè)主權(quán)豁免資格的界定在主體地位及舉證責(zé)任方面存在顯著區(qū)別。尤其美國(guó)模式不但存在法理缺陷,且對(duì)中國(guó)可能產(chǎn)生不利影響。中國(guó)沒(méi)有專(zhuān)門(mén)的主權(quán)豁免立法,僅僅通過(guò)外交聲明等方式確定"國(guó)家絕對(duì)豁免+國(guó)企不豁免"的立場(chǎng)。未來(lái)應(yīng)該借鑒UN公約和英國(guó)模式,突出國(guó)有企業(yè)主權(quán)豁免"主權(quán)權(quán)力"行使這一本質(zhì)屬性。同時(shí)針對(duì)美國(guó)模式對(duì)我國(guó)的不利影響,可以考慮在中美BIT談判中,明示放棄國(guó)企主權(quán)豁免的方式換取國(guó)企在美國(guó)的公平公正待遇的議價(jià)空間。
[Abstract]:In recent years, with the rise of the issue of state-owned enterprises, sovereign immunity of state-owned enterprises has become the focus of attention in the international community. There are significant differences in the definition of sovereign immunity qualification of state-owned enterprises between the FSI, SIA and UN conventions of the United States in terms of subject status and burden of proof. In particular, the American model not only has legal defects, but also may have a negative impact on China. China does not have any special legislation on sovereign immunity, but only by means of diplomatic statements and so on, to determine its position that "the state absolutely exempts state-owned enterprises from exemption." In the future, we should draw lessons from UN convention and British model to highlight the essential attribute of "sovereign power" of state-owned enterprises. At the same time, in view of the adverse effects of the US model on China, we can consider the bargaining space of giving up the sovereign immunity of SOEs in exchange for fair and just treatment of SOEs in the BIT negotiations between China and the United States.
