董事會(huì)多樣性對(duì)商業(yè)銀行風(fēng)險(xiǎn)承擔(dān)影響研究

【摘要】:董事會(huì)作為公司治理機(jī)制的核心,承擔(dān)著為公司戰(zhàn)略分配資源、提供創(chuàng)造性思維以及建立與外界聯(lián)系的任務(wù)。關(guān)于商業(yè)銀行董事會(huì)治理與風(fēng)險(xiǎn)承擔(dān),多數(shù)研究都集中在董事會(huì)規(guī)模、董事會(huì)結(jié)構(gòu)、會(huì)議次數(shù)等方面,很少涉及到董事會(huì)成員的背景特征。而多樣性作為研究董事會(huì)背景特征的一個(gè)新的切入點(diǎn),綜合了董事會(huì)的團(tuán)隊(duì)合作效應(yīng)以及資源效應(yīng),而且,商業(yè)銀行所涉及的業(yè)務(wù)范圍比較廣,更需要多樣化的董事來做出決策。本文從董事會(huì)多樣性的角度出發(fā),研究其對(duì)商業(yè)銀行風(fēng)險(xiǎn)承擔(dān)的影響。本文首先回顧了國內(nèi)外相關(guān)文獻(xiàn),接著以資源依賴?yán)碚、高層梯?duì)理論以及代理理論為基礎(chǔ),結(jié)合2006-2015年我國16家上市商業(yè)銀行的非平衡面板數(shù)據(jù)實(shí)證檢驗(yàn)了董事會(huì)多樣性的三個(gè)要素對(duì)商業(yè)銀行風(fēng)險(xiǎn)承擔(dān)的影響。本文實(shí)證結(jié)果表明:第一,董事會(huì)教育背景多樣性對(duì)上市銀行風(fēng)險(xiǎn)承擔(dān)有顯著的負(fù)向效應(yīng),即有效降低了上市銀行的風(fēng)險(xiǎn)承擔(dān);第二,董事會(huì)職業(yè)背景對(duì)上市銀行風(fēng)險(xiǎn)承擔(dān)的影響不顯著;第三,董事會(huì)國籍多樣性對(duì)上市銀行風(fēng)險(xiǎn)承擔(dān)有顯著的正向效應(yīng),即增加了上市銀行的風(fēng)險(xiǎn)承擔(dān)。
[Abstract]:As the core of the corporate governance mechanism, the board of directors undertakes the task of allocating resources, providing creative thinking and establishing contact with the outside world for the corporate strategy. Most of the studies focus on the size, structure and frequency of the board of directors, and rarely touch on the background characteristics of the board members. Diversity is a new entry point for studying the background characteristics of the board of directors. It synthesizes the team cooperation effect and the resource effect of the board of directors. Moreover, the commercial bank involves a wide range of business and needs a variety of directors to make the decision. This paper starts from the view of the diversity of the board of directors. This paper first reviews the relevant literature at home and abroad, and then based on resource dependence theory, high-level echelon theory and agency theory. Combined with the non-equilibrium panel data of 16 listed commercial banks in China from 2006 to 2015, this paper empirically tests the influence of the three factors of board diversity on the risk bearing of commercial banks. The empirical results of this paper show that: first, The diversity of the board of directors' educational background has a significant negative effect on the risk bearing of listed banks, that is, it effectively reduces the risk bearing of listed banks; second, the influence of board of directors' professional background on the risk assumption of listed banks is not significant; third, The diversity of the board of directors has a significant positive effect on the risk-taking of listed banks, that is, it increases the risk-taking of listed banks.
