【摘要】：中國從2005年開始對上市公司非流通股進(jìn)行改革,使其具有流通性。非流通股股東持有大約三分之二的多數(shù)股票并管理公司,而流通股股東幾乎沒有什么權(quán)力影響非流通股股東所作出的決定。中國政府試圖通過調(diào)整所有制結(jié)構(gòu)來提升公司的治理水平從而改善企業(yè)的業(yè)績。為遵循改革政策,中國上市公司通過不同方案將非流通股股份分配給現(xiàn)有股東。 本文旨在分析非流通股改革對公司價值尤其是對所有制結(jié)構(gòu)變化的影響。文章對2001至2010年間在上海證券交易所上市的717家公司進(jìn)行了多元回歸分析。我們的研究結(jié)果表明,在那些實(shí)施了非流通股改革的公司中,非流通股減少了60%以上,國有股份也減少了35.8%。我們還發(fā)現(xiàn),非流通股的減少對公司業(yè)績有積極影響。此外,還希望通過改革來提高其他投資者比如非政府機(jī)構(gòu)投資者的參與積極性。
[Abstract]:China began to reform the non-tradable shares of listed companies in 2005. Non-tradable shareholders hold about 2/3 of the majority stock and manage the company, while tradable shareholders have little power to influence decisions made by non-tradable shareholders. The Chinese government is trying to improve corporate performance by restructuring its ownership structure to improve corporate governance. To follow the reform policy, Chinese listed companies distribute non-tradable shares to existing shareholders through different schemes. The purpose of this paper is to analyze the influence of non-tradable share reform on corporate value, especially on the change of ownership structure. Multiple regression analysis was performed on 717 companies listed on Shanghai Stock Exchange from 2001 to 2010. Our results show that non-tradable shares are down by more than 60 percent and state-owned shares are down by 35.8in those companies that have implemented non-tradable shares reform. We also found that the reduction of non-tradable shares has a positive impact on corporate performance. It is also hoped that reforms will increase the participation of other investors, such as non-government institutional investors.
