【摘要】：公司制度與信托制度都是萌生并演成于近代西方資本主義社會(huì)的兩項(xiàng)重要的經(jīng)濟(jì)和法律制度。 公司制度的出現(xiàn)使得“生產(chǎn)規(guī)模驚人地?cái)U(kuò)大了，個(gè)別資本不可能建立的企業(yè)出現(xiàn)了”。在過去的一個(gè)多世紀(jì)中，公司制度無疑是社會(huì)經(jīng)濟(jì)和法律體系中最為重要的財(cái)產(chǎn)安排。資本主義在短短的一百年內(nèi)創(chuàng)造和積累的財(cái)富能夠超過過去數(shù)個(gè)世紀(jì)的總和，很大程度上正是有賴公司制度。有了公司制度，才有了資本主義工業(yè)革命的波瀾壯闊，也才有了從近代社會(huì)向現(xiàn)代社會(huì)的轉(zhuǎn)型。建立現(xiàn)代企業(yè)的公司制也是我國(guó)國(guó)有企業(yè)改制的主攻方向。 信托制度源起于英國(guó)衡平法，雖然它被稱譽(yù)為英美法上“最偉大、最獨(dú)特的成就”，但很長(zhǎng)時(shí)期內(nèi)，其影響力都僅及于英美法系國(guó)家。信托制度在大陸法系國(guó)家受到冷遇，我國(guó)更是遲至2001年始才頒行《中華人民共和國(guó)信托法》。信托制度的價(jià)值并沒有得到重視，只是由于兩大法系的日漸融合，越來越多的大陸法學(xué)者才開始關(guān)注起這一獨(dú)具英美法特色的財(cái)產(chǎn)制度來。 通常我們都認(rèn)為，，公司與信托雖然同為民商事財(cái)產(chǎn)制度，二者的范圍領(lǐng)域和價(jià)值理念都相去甚遠(yuǎn)，難謂有多少交合。本文探討這兩項(xiàng)看似并無聯(lián)系的制度之間的關(guān)系，意在尋求問題的切入點(diǎn)，以期促成制度之間的借鑒與交融。公司和信托實(shí)際上都是一種財(cái)產(chǎn)的移轉(zhuǎn)和管理方式，這對(duì)于我國(guó)國(guó)有企業(yè)的改革頗有借鑒意義。由于我國(guó)公有制的社會(huì)性質(zhì)，以何種制度架構(gòu)作為國(guó)有資產(chǎn)的移轉(zhuǎn)和管理方式也就成為我們必須作出的選擇。 本文的考察以縱向的發(fā)展中的公司制度與信托制度的合與分為主線，從合合分分、分分合合的脈絡(luò)之中去探尋兩者之間的關(guān)系。全文共計(jì)十八萬字，除引言和尾論外，文章主體為三個(gè)部分共五章。 引言部分首先大致交代了研究的背景，然后指出本題具有之研究?jī)r(jià)值，以及學(xué)界對(duì)此問題的研究現(xiàn)狀。本文的價(jià)值在于將公司與信托納入同一視野作較為深入的比較研究。與以往研究的不同之處，在于過往的研究者多重視橫向比較二者
[Abstract]:Corporate system and trust system are two important economic and legal systems in modern western capitalist society. The emergence of the corporate system has made "the scale of production surprisingly expanded, individual capital impossible to set up the emergence of enterprises"... in the past more than a century. The corporate system is undoubtedly the most important property arrangement in the social, economic and legal systems. Capitalism can create and accumulate more wealth in a short period of one hundred years than in the last few centuries combined. To a large extent, it is the company system that makes the capitalist industrial revolution magnificent. Only then has the transformation from modern society to modern society, and the establishment of the company system of modern enterprises is also the main direction of the reform of state-owned enterprises in China. The trust system originated in English equity, although it is called "the greatest and most unique achievement" in British and American law, but for a long time. Its influence is only in the common law countries. Trust system in the continental law system countries received cold reception. The value of trust system has not been paid much attention to in China until 2001. More and more mainland law scholars began to pay attention to this property system with the characteristics of Anglo-American law. Usually we all think that although the company and trust are civil and commercial property system, the scope and value of the two are very different. This paper explores the relationship between these two seemingly unrelated systems in order to find the starting point of the problem. In order to promote the system of reference and blending. Companies and trusts are in fact a property transfer and management, which is quite useful for the reform of state-owned enterprises in China. Because of the social nature of public ownership in China. What kind of institutional framework should be used as the transfer and management mode of state-owned assets has become the choice we must make.
