【摘要】：在美國(guó)政府和國(guó)會(huì)通過(guò)SOX法案之后，美國(guó)證券交易委員會(huì)(SEC)要求所有在納斯達(dá)克上市的公司均要按照法案的要求設(shè)計(jì)公司的內(nèi)部控制體系，以保證財(cái)務(wù)報(bào)告的真實(shí)性和準(zhǔn)確性。該法案明確了公司管理層應(yīng)該肩負(fù)保證內(nèi)部控制有效性的責(zé)任，目的是通過(guò)加強(qiáng)公司管理層對(duì)內(nèi)部控制所承擔(dān)的責(zé)任來(lái)保護(hù)投資者的利益免受侵害。雖然法案實(shí)施以后，公司管理層對(duì)其評(píng)價(jià)褒貶不一，不可否認(rèn)的是依據(jù)法案來(lái)設(shè)計(jì)內(nèi)部控制體系給企業(yè)帶來(lái)了管理上的轉(zhuǎn)變，，有利于改善公司的治理結(jié)構(gòu)，提高公司的管理水平，促進(jìn)企業(yè)的健康發(fā)展。 本文以內(nèi)部控制的理論為基礎(chǔ)，在研究現(xiàn)有理論的基礎(chǔ)上，結(jié)合SOX法案的要求對(duì)吉林可口可樂(lè)飲料飲料有限公司(以下簡(jiǎn)稱吉林可口可樂(lè)公司)內(nèi)部控制體系的現(xiàn)狀進(jìn)行了分析，并以在公司經(jīng)營(yíng)管理中影響較大的采購(gòu)和銷售環(huán)節(jié)的內(nèi)部控制體系為例，研究了吉林可口可樂(lè)公司內(nèi)部?jī)?nèi)控制體系。最后總結(jié)了現(xiàn)有體系存在的問(wèn)題，并提出改善建議。
[Abstract]:The U.S . Securities and Exchange Commission ( SEC ) requires all companies listed on the Nasdaq to design the company ' s internal control system to ensure the authenticity and accuracy of the financial report after the U.S . government and Congress pass the SOx Act . The Act makes it clear that the management of the company should shoulder the responsibility to ensure the effectiveness of the internal control , with the aim of protecting the interests of investors by strengthening the corporate management ' s responsibility for internal control . While the bill is implemented , the company ' s management has brought management changes to the enterprise , which will help improve the governance structure of the company , improve the management level of the company and promote the healthy development of the enterprise .

Based on the theory of internal control , this paper analyzes the current situation of the internal control system of Jilin Coca - Cola Beverage Co . , Ltd . ( hereinafter referred to as Jilin Coca - Cola Company ) on the basis of studying the existing theory , and studies the internal control system of Coca - Cola Company in Jilin Province .
