我國金融混業(yè)經(jīng)營監(jiān)管法律制度研究

【摘要】:在全球經(jīng)濟(jì)一體化和金融混業(yè)經(jīng)營趨勢的大背景下,我國銀行、保險(xiǎn)、證券、信托等金融機(jī)構(gòu)間的業(yè)務(wù)合作日趨加強(qiáng),初步形成了業(yè)務(wù)滲透、優(yōu)勢互補(bǔ)、共同利用市場資源的新格局,實(shí)踐中也出現(xiàn)了部分金融控股公司,混業(yè)經(jīng)營已成為金融業(yè)發(fā)展的必然趨勢。但我國現(xiàn)行的金融監(jiān)管法律制度和監(jiān)管體制仍為分業(yè)監(jiān)管,相關(guān)法律法規(guī)以及監(jiān)管制度缺乏時(shí)效性和針對性,難以適應(yīng)混業(yè)經(jīng)營背景下的金融業(yè)發(fā)展的需要,主要表現(xiàn)在極易導(dǎo)致監(jiān)管沖突和監(jiān)管漏洞、各監(jiān)管部門溝通協(xié)調(diào)難度大以及抑制金融創(chuàng)新等問題。本文針對上述問題,以混業(yè)經(jīng)營監(jiān)管法律制度一般理論為切入點(diǎn),分析和比較美、英、德等國混業(yè)經(jīng)營監(jiān)管法律制度改革經(jīng)驗(yàn),然后結(jié)合我國金融業(yè)發(fā)展和監(jiān)管現(xiàn)狀,提出在我國當(dāng)前金融業(yè)發(fā)展水平、金融法律制度健全程度以及金融監(jiān)管機(jī)構(gòu)的監(jiān)管能力均處于較低層次的現(xiàn)狀下,激進(jìn)地強(qiáng)求監(jiān)管法制的立即改變是不現(xiàn)實(shí)的。必須立足國情,同時(shí)借鑒外國混業(yè)經(jīng)營監(jiān)管的成功經(jīng)驗(yàn),首先應(yīng)當(dāng)健全我國現(xiàn)行金融監(jiān)管法律制度,注重立法的前瞻性和系統(tǒng)化,使對金融混業(yè)經(jīng)營的監(jiān)管有法可依,同時(shí)與相關(guān)法律制度接軌。加快金融控股公司的立法進(jìn)度,確立金融控股公司應(yīng)有的法律地位,加強(qiáng)對金融控股公司的監(jiān)管,并完善我國金融機(jī)構(gòu)信息批露監(jiān)督和金融機(jī)構(gòu)市場退出的監(jiān)管法律。其次應(yīng)當(dāng)完善我國的金融監(jiān)管體制,在完善監(jiān)管機(jī)構(gòu)之間協(xié)調(diào)機(jī)制前提下,采用功能性的監(jiān)管方式;本文中綜合運(yùn)用經(jīng)濟(jì)學(xué)、金融學(xué)和法學(xué)等多學(xué)科理論,采用歷史縱向概括和國別橫向比較相結(jié)合的分析方法,希望能為我國金融混業(yè)經(jīng)營監(jiān)管法律制度的完善提供一些參考。
[Abstract]:Against the background of global economic integration and the trend of mixed operation of finance, the business cooperation among banking, insurance, securities, trust and other financial institutions in China has been increasingly strengthened, which has initially formed business penetration and complementary advantages. In practice, some financial holding companies have appeared in the new pattern of using market resources together, and mixed operation has become an inevitable trend in the development of financial industry. However, the current legal system and supervision system of financial supervision in our country are still separated, and the relevant laws and regulations and the regulatory system are lack of timeliness and pertinence, so it is difficult to adapt to the needs of the development of the financial industry under the background of mixed operation. The main problems are that it is easy to lead to regulatory conflicts and loopholes, the communication and coordination of the regulators is difficult and the financial innovation is restrained. In view of the above problems, this paper analyzes and compares the experiences of the reform of the legal system of mixed operation supervision in the United States, Britain, Germany and other countries by taking the general theory of the legal system of mixed operation and supervision as the starting point, and then combines the development and the present situation of the financial industry of our country. It is pointed out that under the condition that the current level of financial industry development, the degree of perfection of financial legal system and the supervisory ability of financial supervision institutions are all at a lower level, it is not realistic to insist on the immediate change of the supervisory legal system in a radical way. We must base ourselves on the national conditions and learn from the successful experience of foreign mixed operation supervision. First of all, we should perfect the current legal system of financial supervision in our country, pay attention to the foresight and systematization of legislation, so as to make the supervision of financial mixed operation according to the law. At the same time with the relevant legal system. We should speed up the legislative progress of the financial holding company, establish the legal status of the financial holding company, strengthen the supervision of the financial holding company, and perfect the supervision law on the disclosure of financial institution information and the withdrawal of the financial institution market in our country. Secondly, we should perfect the financial supervision system of our country, adopt the functional supervision mode under the premise of perfecting the coordination mechanism among the supervision institutions; in this paper, we should make comprehensive use of the multi-disciplinary theories such as economics, finance and law, etc. With the combination of historical vertical summary and country horizontal comparison, the author hopes to provide some references for the improvement of the legal system of financial mixed operation supervision in China.
