【摘要】：創(chuàng)業(yè)板自開板上市以來,經(jīng)過7年的發(fā)展,恰好經(jīng)歷了中國經(jīng)濟高速增長到經(jīng)濟增長明顯放緩的時期,經(jīng)濟面臨著繼續(xù)下行的壓力。至2016年12月,已有572家上市公司,股本總數(shù)達2500多億股,總市值達52000多億元。創(chuàng)業(yè)板上市公司成為我國"創(chuàng)新型"企業(yè)的代名詞。其股權結(jié)構(gòu)高度集中的現(xiàn)狀以及不同性質(zhì)的投資者持股對創(chuàng)業(yè)板上市公司績效有何影響一直是學者們研究的重點。本文選取2013年—2015年3年195家創(chuàng)業(yè)板上市公司的數(shù)據(jù),共585個樣本,運用委托代理理論,公司治理理論和公司績效評價理論作為理論基礎,采用主成份分析的方法提取因子,構(gòu)建綜合的財務績效Y值,通過回歸分析進行實證研究。第一部分介紹了研究的課題,意義,方法和創(chuàng)新點。第二部分采用文獻綜述和理論研究相結(jié)合的方式探求其與公司績效之間的作用機制。第三部分重點介紹了我國創(chuàng)業(yè)板上市公司目前的現(xiàn)狀。第四部分運用主成份分析和回歸分析的方法進行實證研究,結(jié)果表明股權集中度與公司績效呈現(xiàn)顯著的正相關性,S指數(shù)與公司績效呈現(xiàn)"U"形關系。董事會成員持股比例對公司績效的影響為負相關,高管層與公司績效呈現(xiàn)倒"U"形關系,機構(gòu)持股比例和監(jiān)事會持股比例與公司績效之間呈現(xiàn)正相關性。最后文章結(jié)尾結(jié)合我國資本市場的現(xiàn)狀與研究的結(jié)論提出一些合理化的建議。
[Abstract]:After seven years of development, the gem has experienced a period of rapid economic growth and a marked slowdown in economic growth, and the economy is facing continued downward pressure. In December 2016, there were 572 listed companies. The total amount of equity is more than 25 billion shares, The total market value amounts to more than 52 billion yuan. Gem listed companies become synonymous with "innovative" enterprises in our country. The current situation of high concentration of ownership structure and the influence of different types of investor shareholding on the performance of gem listed companies. This paper selects the data of 195 gem listed companies from 2013 to 2015. A total of 585 samples were collected, which were based on principal-agent theory, corporate governance theory and corporate performance evaluation theory. The principal component analysis (PCA) was used to extract the factors to construct the comprehensive financial performance Y value. The first part introduces the topic and significance of the research. Methods and innovations. The second part uses literature review and theoretical research to explore the mechanism of action between it and company performance. The third part introduces the current situation of gem listed companies in our country. 4th. Part of the empirical study is carried out by principal component analysis and regression analysis. The results show that there is a significant positive correlation between ownership concentration and corporate performance. There is a "U" relationship between ownership concentration and corporate performance, a negative correlation between board members' shareholding ratio and corporate performance, and a negative "U" relationship between executive level and corporate performance. There is a positive correlation between institutional shareholding ratio and supervisory board shareholding ratio and corporate performance. At the end of this paper, some reasonable suggestions are put forward based on the current situation of China's capital market and the conclusions of the research.
